Removal of director with

E-mail conveying intention to resign cannot be considered as resignation.  As per Rules 15 and 16 of Companies (Appointment & Qualification of Directors) Rules 2014, now a director is also required to send copy of his resignation letter giving reasons to ROC directly.  A director can be  removed by passing ordinary resolution of members as per procedure given in Sec.169 of Companies Act 2013.
