What is the penalty for a company an officer in default if a company fails to issue regular prospectus?

Every person who is knowingly a party to the issue of prospectus shall be punishable with imprisonment for a term which may extend to three years or with fine which shall not be less than 50000 rupees but which may extend to 300000 rupees aur with board
