Can a Company Secretary sign a Board Resloution?????

YES
200% a company secretary can sign or certify a board resolution. On the legal front a resolution signed by CS is acceptable.
But on the practical front bank may ask for a resolution signed by MD or director. But thats a separate issue as we can not fight with bank officials.

Fully agree with Ankur sir. Infact ive been trying to open a demat account for one of the companies and the bank is insiting on a copy certified by the CS. Thats another things that we dont have a paid up cap of 5 crores and its hard convincing him that the company has no CS :-)
