In case a company does not have audit committee, for related party transactions, omnibus approval can be taken by board?

The audit committee shall, after obtaining approval of BOD, specify the criteria for making the omnibus approval in respect of related parties transactions.... If company is not required to constitute the audit committee... Then BOD is required to approve na... And who else
