what is "DATE OF REGISTRATION OF TRANSFER OF SHARES".Is it date of presentation of transfer deed to ROC(ie,DATE of STAMP OF REGISTRAR)or submission of transfer deed to company.............

DATE OF REGISTRATION OF TRANSFER OF SHARES IS THE DATE ON WHICH BOARD OF DIRECTORS APPROVES THE SHARE TRANSFER THROUGH A RESOLUTION IN BOARD MEETING.

SO Date of Transfer on which the payment was done will not be considered.. The date on which the Board Approves the tranfer will be taken into consideration and will be enetered into the Register of member as the tranfer date ???????????

yes. you're right. the date of board meeting in which the approval of the transfer of shares is carried on is the transfer date and not the date of transfer deed or presentation of deed.

Yes. But usually, it is the committee of board which approves the transfer.

board can not meet so often and transfer can not wait till the board meets, hence, the companies appoint committees thru board to approve the transfers and attend the complaints of the shareholders etc.

Suppose if no committee was contitute.. then what will be the procesure..

In my case.. I have circulated a board eresolution to the Board Members for the approval of the Share Transfer and the same been approved.. So now I need to place that resolution in full fledged Meeting which is going to held in next week ?? and what date will be cosidered as approval date of circluation to Board or date on presentation in full fledged meeting???

After being approved by the share transfer committee, do one need to place the approved transfers before the Board for its approval?

Date of registration of transfer of shares is the date on which the transfer is approved by the Board, either in a meeting or by way of resolution passed by circulation. Resolutions passed by circulation are placed before the Board in its next meeting just for information and you need not wait for the Board meeting for any formality for transfer of shares.

Alternatively, Board can delegate its power to transfer shares to a Committee. In such a case the date of registration of transfer of shares will be the date on which transfer is approved by the Committee.

As a matter of practice, minutes of Committees of the Board are placed before the Board in its next meeting for information only. However, the transfer is registered on the date of approval by the Committee.
