Hello,
As per section 192 of the companies act, 1956 certain resolution are required to be registered with ROC not every resolution.
For example if you pass any special resolution in the EGM you have to file form 23 within 30 days of passing special resolution in the EGM. The same is applicable to all companies.
If you pass an ordinary resolution in the EGM then you don’t have to file form 23 u/s 192. Check the list given in section 192(4) for compulsorily registerable resolutions.
