Dear All,
If a Whole Time Director who is a Chaiman of a Listed Company, upon resignation of the MD of the Company is re-designated as Chairman and Managing Director, with the same salary and terms. Filing of form 23 and 32( for re-designation) fulfills the requirement of procedure under companies act or any further compliance is needed.
Dear Sir,
In addition to the already filed forms, You have also to take follwing further action:-
1. Forward the abstract of appointment and remuneration to the members of the company within 21 days of appointment
2. If your company is listed, Inform the Stock exchanges about the appointment
3. File Form 25C
4. Make neccessary entries in the required Statutory Registers.

Very well said by Charu, form 25C has to be filed within 90 days from the date of appopintment.

No form required to be filed with ROC for the prpose you've mentioned.
