Re-appointment of md

Dear All, We are Pvt. Ltd. Co. , we have re-appointed / extended tenure of MD by passing resolution in Board Meeting and same is further ratified by shareholder in EGM. My query is do we need to file form DIR -12 for his re-appointment there is no change in the designation as such . Please confirm ? Regards, Gargi A. Ranade
