Hi kunal...riswa is right..sebi guidelines weightage is 6-10..
If you have not studied these guidelines yet...its not a problm...
I m attaching my handwritten notes for sebi guidelines...these are very easy....handy language...11 pages only and mostly provisions in chart form..just read 2 - 3 times & you will be done...
These notes doesn't cover 100% area...but relevant for CA FINAL for sure...
Thanks...

As you know that law paper is based on pratical case laws...so you should answer the case laws in the following format
a) Facts of the case : Redraft the question in your own language
b) Legal Issue : What is required in the question
c) Provisions of Law
d) Conclusion based on above provision
If you dont know the answer...Write the (a) & (b) points, it will give you some marks for sure..
If you dont remember the section..plz dont write it...
Also if you are not able to learn the name of case laws..no need to learn it...Learn only the conclusion of that case law...
Try to attempt 100% paper,
In case you dont know the answer, Answer it by applying your general knowledge..
Thanks and all the best for you exams...

Ya sure Paras...Let us take 1 question from Corporate Law
Question : Articles of association of rajastjan toys private limited provide that the maximum number of directors in the company shall be 10. Presently, the company is having 8 directors. The Board of Directors of the said company desire to increase the number of directors to 15.
Advise whether under the provisions of companies act, 1956, the BOD can do so?
Answer: Facts of the case
Maximum no. of directors as per articles of association of the said co. is 10 and now it wishes to increase it to 15
Legal Issue:
Whether the said co. can increase the no. of directors to 15
Provisions of Law:
According to section 259, If a company is wants to increase its no. of directors then it has to take approval of CG
But no CG approval is required if:
i) The increased no. of directors is within the limit as prescribed by articles first registered ; or
ii) The increased no. of directors is within the limit of 12
Moreover, This section shall not apply to:
i) Private Co.
ii) Govt. Co.
iii) Co. licensed under sec. 25
Conclusion :
In view of what is stated above, it is concluded that, since Rajasthan Toys Private Ltd. is a private co., section 259 is not applicable to it and accordingly it can increase the no. of directors from 8 to 15 without any restriction.
