then why we say that section 8 company having share capital?

yes...... it can have shares and issue shares
but no profit is given to share holders
i never heard a concept that section 8 company cannot issue shares

so company raises capital by issue of shares nly
but won't distribute dividend. it collects nly funds and donations.
