How the interest of a director is determined in a particular resolution.

Hello,

U can chk that by way of resolution his or his relative interest is effected or not.

I can illustrate by saying if company is issuing Bonus share and the director or his relative are shareholders then by passing BR for issuing of bonus share can effet their interest.

I hope i m able to detailed the situation correctly!

Thanks Nidhi. But can u please let me know if there is any specifie sections under companies act, describing how the interest of a particular director is determined.

Further right now I am appointing a director in a company in which his wife, son in law and father in law are already directors. whether the current directors would be interested in such a resolution.
