Pvt ltd company director resignation

three family members as directors in pvt ltd company- one promoter director with 50% shareholding wants to resign- 

Q.1: can he remain shareholder with same % after resignation??/

Q.2 if no, how can he transfer his shares to another director and if any additional payment has to be made other than face value of his shares??
