1. What are the compliances for both the parties?
2. Is this transaction chargeable to VAT or Service tax?
3. What are the requirements under the companies Act?

no compliance requirement as far as Companies Act, 1956 is concerned.
Board Resolution will be suffice.
& details of such acquisition required to be disclosed in Board report u/s 217 of the Companies Act, 1956
