IS IT 31ST March or 15th April+5 grace days.........???????????

can anybody tell me that if partenershipfirm is converted into the company in dec 2011. and the turnover of firm is 42 lacs and turnover of the company is rs 22 lacs.so the tax audit is applicable to any of them company and firm or not??
