Procedure to know - to add a new director on board.

Hi,

I am writing this on behalf of my friend who is now in US.

He and his friend established a LLC (Pvt.ltd) company in Hyderabad in 2011 and both are the directors in this company and are settled in US. 

They wanted to add one more director in this company to manage the oparations from India. 

Their concerns/queries sharing below, hope, we will be able to get a fruitful answer/support from this forum:

1. Since the company is registered in Hyderabad, Can we do the formalities of adding one more director from Delhi? (As, the person whom they are thinking to add, is now in Delhi). If yes, what are the formalities and from where we can get it done, so that, we can ask the person to go there and get it done. OR, if it is only possible from Hyderabad, the formalities?

2. Is there any limitation to add directors on board as the company is LLC?.

3. The company did not do any business so far, hence no revenue or profit.

4. The founder directors are in US, hence will it affect in adding a new director on board?

5. What would be the cost to complete this formalities - The form/registration fee/etc.?

6. What would be the timeline to complete all these formalities?

7. Also, wanted to get a digital signature for the new director, how and from where we can get it?
