In continuation to my above query -
To my knowledge :
1) Board Meeting
2) EGM - Approval for Authorised share capital
3) Modify MOA / AOA
4) File with ROC within 30 days of EGM
But i aint know the forms required for filing for the same
As of now we have share capital of the company 5,00,000 divided into 50,000 shares it needs to be increased to 4,50,000 shares . i would like to know the fees & charges for such increase.
I would like to know how the fees is calculated.

ROC e form is SH-7 needs to be filed and two challans will be generated One for ROC Fees and other for stamp duty.The stamp duty amount will be displayed in Form once u fill up whole form .
stamp duty is applicable Statewise.Stamp duty chart also available at MCA site.Alos refer the SH-7 help kit available at MCA site for ROC fees calculation
e.g in your case increase in capital from Rs.5 lac to 45 laks (increase of Rs.40 lacs) (face value -10/each)the ROC fees please check the help kit calculation given in help kit with example and stamp duty (assuming Maharashtra state 0.2 % on 40 lac) Rs. 8000/-== l (if paid within due date ) penalty extra after due date ==
pls check the calculation from your end correctly before proceeding.

IMP POINT --
1) ONC SH-7 IS IN PROCESS TILL IT GETS APPROVED ANOTHER SH-7 WILL NOT BE UPLOADED SO BE CAREFUL BEFORE UPLOADING THE SH-7 FORM.
2) once the duty is paid Refund of stamp duty is subject to stamp duty act.please check

Once we increase the Authorised capital , what would be the procedure/steps to allot the shares ?
Is Form PAS - 3 to be filled?

We have increased the share capital , Now we have to file return of allotment .
Is form PAS 3 to be filed?
If so can you please share the format for the following:
1) Board resolution for allotment of share
2) List of allottees format
Meanwhile we want to issue the shares, for unsecured loans.
