Procedure for incorporating a company with the object of investing in capital market

A private limited company has to be formed for the purpose of raising funds only from its shareholders with the object of investing in capital market. What is the procedure to be adopted for incorporating such a company and what are the other statutes that cover for forming and operating such a company.

Such kind of companies comes under the definition of NBFC, you can incorporate non-NBFC company for pursuing the same purpose.
