Private company & closely held companies

dear experts plz suggest me the difference between private company & closely held companies. are share and debentures issued by a private company, termed as securities as per securities contract (regulations) act 1956?? these share and debentures aren't marketable correct ?? so it should not come under securities right ??? plz suggest .

Closely held companies includes companies which shares are not listed (Limited unlisted companies) & private ltd. companies. So the diff. btw Closely held & Private companies is that Closely held companies include both limited unlisted companies & private ltd. companies & as regards to shares of pvt. ltd. companies they come under the definition of securities as in Co. Act , 1956 u can find the word securities used everywhere for shares of pvt. ltd. co. also & for the word marketable used in SCA,1956 it means u can sell the shares or not & u can easily sell the shares of pvt. ltd. co. also
