how private company become listed company?

Only Public Company can list its securities on stock exchange. ... Aprivate company cannot invite general public to subscribe to its shares. To doso it will first have to convert itself to a Public Limited company, then only itcan think of getting itself listed on stock exchange for trading its share

Listed companies defined under CA,2013 means whose securities are listed on any of the recognized Stock exchange, Thus if debentures etc. of the companies are listed on the trading platform of recognized SE, it can be said as listed companies.Thus private companies can be listed companies without listing the equity, or preference shares. if it's SECURITIES (even debentures) are listed.....

According to SECURITIES EXCHANGE BOARD OF INDIA(ISSUE AND LISTING OF DEBT SECURITIES) REGULATIONS, 2008:
R. 2(1)(f) "issuer” means any person who makes an issue of debt securities in terms of these regulations or who has made an issue of debt securities which are listed on a recognized stock exchange and includes a person who seeks to list its debt securities on a recognised stock exchange.

This means that if a private limited company has its debt securities listed on any recognised stock exchange, then such company is under the ambit of listed company category for complying with the Companies Act, 2013 and the rules and regulations made thereunder.
Such Companies are not only recquired to follow COMPANIES ACT. 2013 but also SECURITIES LAWS( in case of listed companies) ·

which type of debentures .. if convertible debentures are listed than it will convert into shares and private company cannot list their share.
because there is 3 restriction in private company defination .

As per SEBI( Listing of debt securities) regulation,2008 defines,debt securities means non convertible debentures.
