Caan preference shares be issued at premium?? Please explain with necessary sections and provisions.....

Yes,
Preference shares can very well be issued at premiume, as per sec 78 of co. act i.e. Application of premiums received on issue of SHAREs. And share include equity as well as preference. There is no exclusion for preference shares.
