No man only a Director who is holding a qualification shares if required will be Shareholder of that company otherwise not.

member = owner = shareholder... so a director not holding any shares in the company is not a member... juss a representative of the members of the co...!

shareholder=owner=member =company.....director cant be a member if he is not holding share in dat company.....
