Hi,

I am advised to register an existing Partnership under the Companies Act, 1956 (the Act). Part IX of 'the Act' provides for the same. (Sec.565..... r.w. PIB press release dated 5-8-99)

I am looking forward for the  detailed proceedures to be complied with.

Since the matter is urget, please consider on priority

Dear Rajesh,

A firm may be converted into a company be following the provisions of part IX of the section 565 to 581 of the Companies Act, 1956.

The detailed procedure and the requirements are given in the attached file.

Further pls. correct me if I am wrong:

1) Stamp duty need not be paid since there is no sale of Assets by the Partnership to Company

2) Tax liability is not there

What should be the criteria for stamp duty on the agreement facilitating the acquisition of business (Pls. refer Point No. 9 of your reply)
