Opc doing business without contract

302 views 1 replies

Dear Sir

if an OPC does remote offshore work for a foreign customer but without service contract, can service invoice be raised and payment received without contract. Isn’t it mandatory to share contract details with registrar for any business including OPC which isn’t possible in this case as contract doesn’t exist.

Thanks and regards

Sujay

There is no provision in the Companies Act,2013 which requires OPC to inform about all contracts entered by it to the ROC.

Section 193 requires intimation to ROC about those contracts entered into between OPC and sole member of OPC who is also the director.
