As per the provisions of section 248(1) of the Companies Act 2013, if the Company fails to carry on the business within one year from the date of the incorporation of the Company or the Company is not carrying on the business for a period of two immediately preceding financial year and has not applied to ROC for applying the status of dormant Company, the ROC at its own discretion, may issue the notice under section 248(1) against the Company and the Directors to remove the name of the Company from ROC by striking off and asking them to submit their representation within 30 days of the receipt of the notice by representing that why the action against you (the Company) shall be taken to strike off the name of the Company. If no reply is received from the Company, then Company may be penalized and action may be taken under section 450 of the Companies Act 2013
