We had a board meeting where we missed out to include the item to "approve the minutes of the previous meeting" in the notice.
For the 26th meeting's notice, in the agenda, we missed out the item "to approve the minutes of the 25th meeting's minutes".
Also, all our directors read and sign the minutes(not just the chairman) before the next meeting always. So we do not generally read the minutes in meeting.
We conducted the 26th meeting as usual, without noticing that we didn't add the item in the agenda. We took some important decisions in the meeting.
Now my questions is that, since we missed out that item in the notice of agenda, will it affect the validity of the said meeting(26) or the previous meeting(25)? Is that meeting valid? What we can do at this point of time? Do we need to call for the 26th meeting again? Or shall we just add the item in the 26th meeting minutes and get it signed by all participants?
