Hi Everyone,
I have a query regarding nomination of director by financial institution.
IDBI has nominated a director (Mr. X) on our company board. Now we have last week received a letter from them stating that they have withdrawn the appointment of Mr. X from our board w.e.f 01/09/2009 (along with the actual letter).
IDBI says they have already informed us regarding this earlier my sending letter through regd AD
My query is how should i treat the following issues:-
1. meeting attended by Mr. X between the period 01/09/2009 till date.
2. he has chaired many board meeting and audit commitee meetings
3. nominee director must have been reporting to IDBI, outcomes of all the board meeting.
4. non receipt of withdrawl letter by the company from IDBI. (withdrawl letter which is recived last week have address of director and not of the company).
please help me in resolving the issue. its very urgent
