Dear Ankur Sir,

What is the procedure of Incorporation a new private limited company with 1 lacs share capital. and what kind of documents are required for the same?

and what are the costing?

Please sir answer in brief.

Step 1: Apply the name of the Company through RUN

Step 2: Preparation of the following documents through Run

Affidavit and declaaraation by the first directors and shareholders on the stamp paper of the apprpriate value

Consent from each director in form DIR 2 along with proof of identity and address.

NOC from the owner of the property that the owner has no objection for providing the property on lease.

Proof of office address like conveyance deed, lease deed, rent receipts etc

Utility Bill not later than 2 months old

In case Directors does not have DIN , then mandatory to have proof of identity and address proof

affidavit by directors and subscribers regarding non acceptance of deposits.

Form INC 33 would be the memorandum of the Company. DSC by the witness is also mandatory. date of signing would automatically be generated on date of signing the form

INC 34- Articles of the Company- Standard format as per Table- F which can be edited as per the Company's requirement

STEP 3: File Form INC 32 along with above attachments

Also,

1) Affidavit-cum-declaration should be as per INC-9.

2) If Directors are not having DIN, then the proof of address and identity should be attested by a professional (CA/CS/CWA).

3) In INC-34(e-AOA), the definition of Private Limited Company as per section 2(68) of Companies Act,2013 under Definitions and

mention the details of First Directors under Board of Directors .

4) Object Clause mentioned in INC-34(e-MOA) should be the same as in RUN Form.

5) Make sure that the size of the SPICE form(after attaching attachments) does not exceed 6 MB.

6) Further DSC is needed for all directors and it should be registered in MCA Portal.

7) All Incorporation Activities from RUN Service to Uploading of SPICE Forms should be done in same User ID.

8) From 26th January, An Initiative was taken by government to make Incorporation easier and better by making Incorporation Fees is nil for companies having authorized Capital less than Rs. 10 Lakhs.But, Stamp Duty for SPICE, e-MOA and e-AOA should be paid.

9) Further, If Name is reserved through RUN, all the SPICE Forms should be filed within 20 days .
