New certificate of incorporation

Hello,,

Just wanted to enquire if:

1. A private limited company had changed its regd office from Pune to Mumbai. All the requisite filing with the ROC have been completed. But the Certificate of Incorporation shows the regd office as Pune. Can someone please tell the procedure to get it changed.

2. Do the ROCs issue a fresh certificate of incorporationm upon change in regd office?

The certification of Incorporation of the company won’t change, as it contains not only the Regd. office address or state, but other details also such as date of incorporation etc.

But as the Regd. office of company is changed the concerned ROC will always issue Certificate in this reference after the Approval of Final form 18 filed with ROC.

As in your case the state is not changed only jurisdiction of ROC is changed with in same state the roc will issue a certificate citifying the same as your form 18 will be approved.

Neha Gupta is right. ASs Cetificate of Incorporation means the certificate which is being received on date of incorporation of the company. So how it can happen taht the office is changed and again the COI is being issue by the ROC. But yes, if the Registered office is shifted from teh one city to another, then as in other cases of e filing of forms, you receive the certificate that teh form has been approved, the company will get the same that form 18 has been approved.
