Name change

How long does it take for the entire process of change of name of private company to get completed?Right from filing the form 1A till getting the new certificate of incorporation.

Dear Sayali,

It will take approx a month and few days.

If general meeting is held at a shorter notice then it can be completed at a much lesser time.

Mostly the meeting will be held on paper so just dates will have to be chosen.If their is no query from the ROC can the process be completed within a month?

Yes it can be completed, just do a follow up with ROC after filing necessary forms.

ok thanks...a company plans to take over another company and will change its name.I need to write the significance of why we are proposing this new name.Can anyone please suggest how to write the significance??

Dear Sayali,

The significance of changing the name is completely based on the reasons for changing the name. For example - If you have amended Main Object clause by adding or deleting some objects, the name of the company should reflect the new main objects. So depending on the actual purpose of changing the name, significance should be mentioned.

and a minor query..has the application fee for change in name changed to Rs. 1000/- now? or is it still Rs. 500/-

Fees for Form 1A is Rs. 1,000/- now.

and the authorised capital of the company is 10 lakhs so both Form 23 (if filed within 30 days) and 1B Fees will be Rs 300/-?

Hi,

Form 1A takes around 1 week to get approved by theROC.How long does it take Form 1B to get approved?And then within how long does the ROC mail us the new certificate of incorporation?

Hello Sayali,

Form 1B also takes similar time. It may be approved within 2 days or even a week. As soon as it is approved, you will receive certificate of incorporation in the ROC approval mail.

The name proposed in F1A got approved.Now we need to call the EGM.Can I give the Notice of the EGM for shareholders consent prior to form 1A getting approved??or do we give out the notice of EGM only sfter the form1As approval by the ROC?
