The Company held board meeting 10th June,After 15days the chairman of the meeting died. however minutes book has not been prepared at that time. Now who are eligible to sign on the minutes.

The Chairman of the next Board Meeting may sign the minutes of the previous board meeting.

Dear Srisuresh,
Please refer to the Section 193 of the Companies Act which has given two options in case of signing of minutes of Board Meeting:
- either by the Chairman of the said meeting
- or the Chairman of the next succeeding meeting.
In your particular case, the Chairman of the next meeting shall be signing the minutes.
Just for your further knowledge - Minutes of General Meeting shall be signed by the following:
- either by the Chairman of the said general meeting
- or in the event of death or inability of that Chairman, by a director duly authorised by the Board for this purpose.
