Dear All,

I totally agree with Mr. Ankur and also great help from Hardik's attachment. I have also confirmed the same with the ROC.

But still can anyone pls interpret the definition of public company which states that Public Company means a company which.......... (iv)" is a private company which is a subsidiary of a company which is not a private company".

Now as we all know that basic structure of a private co. can not be changed just because it is subsi. of a public co. However, for the purpose of some provisions of the act this pvt. co. must be treated as a public if and only if specifically desired by the section in question. For example section 255, 268 and 269 and many others. By virtue of the language of these sections they become fully applicable to a private co. which is subsi. of a public co.

Could you pls confirm whether just an ordinary resolution will do in case the company wants to pay insurance premium on behalf of the director , in case of pvt. ltd. co.

Kindly appreciate payment of Ins. premium on behalf of dir. is equal to loan to dir. u/s 295. So i would advise you to avoid this practice. Section 295 is applicable to all the companies. With CG approval the same is possible.

 I am agreed with Ankur. This is a simple interpreatation of Sec 252 of Co Act.
