Dear Sir

Is it mandatory to file explnatory statement under section 102 along with the resolution for adoption of the financial statements by the board of directors in Form MGT-14 or is it enough if we only file true copy of the resolution.

Sir,

Can you please quote some examples of section 117(3)(c) of the CA 2013:

"Resolutions which have been agreed to by all the members of a company, but which, if not so agreed to, would not have been effective for their purpose unless they had been passed as special resolutions"

for the purpose of filing MGT-14.

Would like to know whether MGT -14 is required to be filed for board resolution passed for change of financial year to calendar year to align with foreign holding company
