Limit for meeting of Board of directors

hey guys can any one plz tell me dat.. is dere any limit for meeting of board of directors in a calander year??

i mean can any company conduct more dan 4 meetings in a calander year.???

Yes a company can conduct more than four meetings in a calander year. There is no prohibition in law.

Yes, there is no limitation on the number of the Board Meetings, subject to the minimum of 4 meetings and the period of meeting (i.e. under companies act 1 in every 3 months).

And under Listing Agreement the Board shall meet at least 4 times in a year, with a maximum time gap of 4 months between two meetings.

There is no upper limit for holding the board meeting as required by law (at least four meeting) It is depend upon the circumstance and nature of business vested witrh the company which requires the calling of Board meeting. In a case of stock exchange it may require to call two board meeting in a day if emergency contraints and in ordinary case it may be within the statutory Time limit. at laeast four. incase of Listed companies the Board shall meet at least 4 times in a year, with a maximum time gap of 4 months between two meetings. Now a days video conferencing is also a toll for taking the decision in respect of the company.

There is limit for minimum board meeting but nothing is mentioned about maximum no of meeting ......

And companies do hold board meeting more than 4 time, like when they call EGM etc...

Years back when i was doing my articleship i had prepared a compliance certificate for a company. The company was issuing board resolutions at its will i.e. , taking meetings on record and issuing board resolutions for various routine matters. They ended up showing 25 board meeting for the year with some meetings falling on consequtive days.
