Dear Firend, the breif procedure can be like this
1. Hold a Board Meeting decied the number of debentures need to be issued, check your browings powers, since debenture are secured identify the property which you are giving as security, creat debenture deed and lastly file form no. 10

You need to prepare an Information Memrandum needs to be given to the subscribers of the issue. Please go through the ICDR regulations for the same.
