is it necessary to pass a resolution by a pvt. ltd company to buy machinery or make building etc?
suppose a company formed and make building bought machiery in huge quantity, then also is it necessry to pass any kind of resolution?

It is better to pass the board resolution .
Whether the decisions will be taken by passing the board resolution or otherwise depends on the culture of the company .
