Yes director is considered an employee of the company and they are paid remuneration as provided in the relevant sections.

I am working in a private limited company as HR from 2008. Since one of our directors quit, My MD requested me to take the post from 2011 october. There was no changes in my employement contract nor a letter given to me nor there were any changes in my responsibility. I continued to do my role of human resources. Due to certain issues, I decided to give up the post of Director in August 2014 and hence mailed my resignation to my MD and had him acknowledged on the hard copy of the resignation letter. I assumed that they have removed my name from the post of Director. I was surprised to know in February 2015, that my name still continues to be in ROC listed as Director. When questioned, I was asked to resubmit my resignation with a change in date for which I have complied. I request the forum to advise on:
a) what steps do i need to take to have my name removed from ROC
b) I still continue to work as HR, am I liable for the company wrong doings/ defaulting in payments/statutories.....
