Increase in Share Capital - Stamp duty requirement

Dear Members,

A Pvt Ltd company having 3 members;  registered and situated in Bangalore has Authorised Capital of Rs 10 Lakhs.

They want to increase the Authorised Capital to Rs 25Lakhs.

What will be the stamp duty amount to be paid ?

How to calculate the same?

Also what will be the ROC Fees and other charges to be paid?

Kindly also give what all formalities to be compiled with in this connection.

your present auth capital is 10.00 lacs

new auth capital  (to be increased) to 25.00 lacs

stamp duty rate is (in delhi)  is 0.15%

stamp duty on additional auth capital (25-10)  rs. 15.00 lacs is  1500000*0.15% =   2250

ROC Fees on rs. 25.00 lacs is 56000/-

fees on rs. 10.00 lacs is 26000/-

fees will be paid as under

pay order of rs. 30000/- (i.e diff between 56000-26000) in favour of pay & accounts officer, mca

now you can calculate the stamp duty at the rates which are applicable in banglore.

Stamp duty calculation for AC increase is Rs 500 for every 10 lacs or part thereof. So for 15 lacs it is 1000 payable to sub registrar of the locality. 

ROC fees u can calculate by using fee calculater available on the MCA Website by selection Form 5

The situation is entirely different in Bangalore. There is no rate. Again the DD should be taken in Favour of "ROC KARNATAKA"

Dear Sir I have authorised capital of Rs.1 Lakhs and want to increase upto Rs.2 Lakhs in Gujarat. Whether any stamp duty is leviable and filing fees in form no 5.Also we have to provide mememorandum and articles changed what changes required Please explain me. Dixesh Doshi

1. Payment of Stamp Duty and Registration fee to ROC (For Gujarat)

a).Where the company has no share capital or nominal share capital  the stamp duty on AOA will be suject to minimum of one thousand rupees and maximum of five lakh rupees, fifteen paise for every hundred rupees or part thereof. and on MOA Rs. 1000/- if accompained by the AOA.( In your casr for increase in Authorised Capital from 1 lakh to 2 lakh it is required to pay   stamp duty  on form 5  only Rs. 150).

 

 

b). For Registration fee payable to ROC on increase of Authorised Capital from 1 Lakh to 2 Lakh, it is required to pay only Rs. 3000/-i.e. Rs. 7000- 4000= 3000.

At the time of incorporation u have already paid registration fee of Rs. 4000/- to ROC .
