22 December 2009A foreign company want to incorporate a private limited company in India.Out of directors,one will be non resident.Subscribers will be Foreign company (99% shareholding) and 1 % by non resident/resident.Can you please let me know what is the procedure and documents required to incorporate foreign subsidiary in India ??

There is no special provision for incorporation of such Company.
The simple process would be followed.
The only additional document required would be the NOC from the foreign holding Company in case the name of the proposed Company is similar to it.

It is also possible to incorporate company in India with 2 shareholders and transfer shares to foreign company later
