Dear members, how to form a LLP in mumbai region, i have received an proposal to register a partnership firm but i never have done one. Please advise me with procedure and documents required.

First u decide what to incorporate, LLP or Partnership? Because both are different in nature.

This thing depends upon the object of the partners. As per my opinion LLP is better than partnership in following sense:

a) liability of the partners are limited unlike the partnership

b) It is a separate legal entity, so loans can be obtained from financers easily than compared to partnership.

c) Most of the capital oriented transactiones are filed with the ROC and so there is a proper record of the proceedings.

 

You can advise ur client to go for LLP. 

Yes even i googled it and came to conclusionn of suggesting LLP and also came trough this process

• Sending the same to the MCA   Cell   and getting it approved

 Pre- Name Application Search

• The Promoters have to provide   atleast 6 (Six) names in the order   of   priority

• To make an online search of     availability of names as desired   by   the Promoters

 Application for Name Availability

 • Filing of Form 1

 • 6 names for the proposed Company

 • Main Object Clause

• To draft the Main Object to be   pursued by the LLP after   incorporation

 Representation before RoC on  behalf  of Promoters

• Changes to be made in the Name   application, if any, suggested by  the   RoC.

 Documents required for  incorporation  of an LLP

 • LLP Agreement

 • Form 2

 (Statement by Promoter)

 • Form 3

 (Information regarding the LLP  Agreement)

 • Form 4 & Form 9

 (Notice of Consent & Appointment of  Designated Partners with their personal  details)

 • Subscripttion sheet signed by the   promoters

 • Duly stamped LLP Agreement

 • Proof of Address of Registered Office

 • Drafting the LLP Agreement and   after getting it vetted by Promoters,   sending it for printing 

 • Processing of eForms

 Final Process:

 • Filing all the above documents with the  ROC, follow up with the ROC Making  changes in LLP Agreement/ other  Incorporationdocuments as suggested   by  the ROC
