Plz guide me how to incorporate new company. Company will be registered in mumbai. plz guide me with relevant act and proceedure to be followed.

Hi akash. Mentioned below is the step by step detailed procedure for incorporation of a PVT ltd company.

1. fill din form form for each director and get din no. immediately (docs. required-id proof, address proff, 1 photograph and signature on declaration form) (fees Rs.100 for each din no.)

2. after that u have to get the digital signature of any one director (it is required for signing form 1A & other forms) (it will cost u around 1000 for 2 years validity and rs.700 for 1 year validity )

3. then submit form 1A for name approval. (fees is rs.1000)

4. after getting company name approval - get MOA and AOA printed ( u can download the similar company format but if u donot get then u can approach advocatate/experts)

KINDLY FILL THE SUBSCRIPTION PAGE OF MOA & AOA VERY CAREFULLY.

director should mentions their details in their own handwriting. and u should mention ur detail in your own handwriting.

date of submission should be mentioned on the page.

5. scan the MOA and AOA- select dark & font while printing MOA & AOA, while scanning selct Black & white option and select dpi as 200 as this will reduce the size of file.

6. fill fomr 18 & 32 .

7. FIll form  1 and attach MOA & AOA to it. then upload the form after uploading form 1 u will be asked to select form 18 & form 32 upload the same.

8. pay the fees Rs.4800 for form 1,18&32 & Rs.1300 for stamp duty (however stamp duty can be paid afterwards)

9. U can check the status on mca website by putting SRN of challan for Rs.4800

10. If there are any corrections required in MOA /AOA then it will be shwn in the status column as "required resubmission". after making necessary changes again Scan MOA/AOA (in which mistake in there) and again upload the form 1. but choose option resubmission.

11. withing a week u will see status as "approved" and "certificate" . it means company is registered . u can click on certificate and view the COI.

3. Apply for Directors Identification Number and Digital Signatures.
4. Drafting of Memorandum and Articles of Association.
5. Stamping, digitally signing and e-filing of various documents with the Registrar.
6. Payment of Fees.
7. Obtaining Certificate of Incorporation.
8. Preparation and filing of Prospectus/Statement in lieu of Prospectus and e-Form 19/20 (in case of public companies) for obtaining the certificate of commencement of business.
9. Obtaining Certificate of Commencement of business (in case of public limited companies).

 

Proceedure of incorporation of a company U/s 33.

  • Any 7 or more members (2 or more for Pvt. co.) may form a company by subcribing to MoA.
  • 3 copies of MoA and AoA duly stamped , signed and witnessed, should be furnished.
  • original copy of name availability.
  • Statutory declaration in FORM No. 1 i.e., undertaking given to registrar that all the statutory requirements are complied.
  • The above undertaking may be signed by any 1 of the following.

             1) Advocate of high court/ supreme court.

             2)Practicing CA, CS, CWA or

             3)1 of the proposed Directors.

  • Copies of contract agreements entered by the promotor on behalf of the company.
  • particulars of registered office in Form No 18.
  • Particular of 1st director in form no. 32.
  • consent from each director to act as director. in form no.29.
  • Registration fee.

Registrar will issue a certificate of incorporation. The company becomes body corporate. The registrar will allocate Corporate Identity No. (CIN).
