How to convert proprietoryship to the pvt company

Dear All

My brother is doing a proprietory business, now he wants to convert into a pvt ltd company with the 5 shareholders/directors

pl tell the procedure.. already he is getting 300000/- profit p.a .  and having own business land and capital around 1200000/-.

how to convert the above into share capital and know-how
