GST Authorised Signatory change for a Pvt Ltd company after death of a director

5457 views 8 replies

There are 3 directors of this Pvt Ltd company. The director who was the authorised signatory on GST portal has died. The company is paying GST every month, but is unable to file monthly returns.

To change the authorised signatory to one of the other directors via the online portal requires the digital signature of the authorised signatory ( who has died ).

Is there a way to do this via the portal i.e. without a visit to the GST office etc. ?

Hi ugni rao

you can add 3 to 4 authorised signatories. its not mandatory only one signatory should be there.

first add one more signatory then using his signature file GST returns

after that you remove the dead signatory

Thanks for the reply, Dhruva.

To add additional signatories using online GST portal, the form has to be signed by the existing authorised signatory.

This cannot be done as the existing authorised signatory has died.

Is there any other way to achieve this?

Dear ugni

you can prepare one authorisation letter from remaining two director and add the other signatory.

if department rejects then you have to visit jurisdictional office no choice
Amend Registration and add new authorised signatory
If there is only two directors in company and one of them who is also authorised signatory is died then how to appoint the only director as authorised signatory as BM can not be held by only director and resolution or authority letter is also not possible.

Please reply at earliest.

Dear Sir,

Contact to proper officer of your jurisdiction and submitted following document,

1. Application for add in authorization of New director.

2. Letter of Board   d resolutions.

3. Copy of Death Certificate

4. Copy of DIR-12

5. Copy of Pan Card and Aadhhar Card

6. One passport Size Photograph of new authorized Person.

7. affidavit ( if it is required)

Thanks

In this case even though you have upload the resolution passed at the board meeting for appointing authorized signatory and appoint any other director as authorized signatory you need to verify those amendments by existing authorized signatory. now the problem is existing authorized signatory is already dead.

Now if you verify by keeping the deceased person as the Authorized Signatory by his DSC or through OTP is considered as wrong filing as a deceased person can not file any forms.

The only way to solve the problem is approaching concerned officials at the GST department.
