what are the procedure for transfer of share as gift by father to son of a limited company ?

not require transfer deed & not pay stamp duty

like in rajasthan 2.5 % of market value of share

You can need to execute SH-4 as per the format prescribed into he Companies Act 2013; i.e. share transfer deed and pay stamp duty as per the respective state act on the value
