Gap in Board Meeting

In a private limited company one board meeting was held in January 27.  Can the second board meeting be held on

25th June?

 

It is not a listed company so the questionof listing agreement does not arise.

Hi Vishakha,

 

In your case board meeting on June 25 (quarter two) is very much possible and in sync with the provisions of section 285.

 

If you hold one BM on January 01 and other BM on June 30, then also it is perfectly fine and as per section 285.

 

Revert if there is any doubt

Agree with our mentor........................private company should have their BM in each quarter and gap may be more than 3 months(sec 285)

sir, the sec 285 also says that   not more than 120 days must exceeds between two meetings. But in the present instance 120 days is exceeding  between  27 january and 25 th june . so how can the second board meeting held on the 25th of June.

Please make my concept correct if  i m wrong

Please go through section 285 again as there is nothing like 120 days provision as mentioned by you.

Gap of 120 days is relevant only to listed company..............and more over its not the provision of companies act.

rather its under 49 of listing agreement.
