First of all the Business purpose of forming such Company needs to fully understood and analysed.Then the FEMA and Income Tax angles also need to be kept in mind.

We are a pharma company doing exports business. we want to take benefits available for exports which can be opening of off shore company wherein acquisitions outside India can be done

Form ODI needs to be filed for the same with AD through whom you are sending remmitances for complaince under FEMA.
