The board discussed the need for change in place of keeping the books of accounts from the registered office,..............................................................to the head office of the company at ..................................................................and adopted the following resolution:

“RESOLVED THAT approval of board of directors be and is hereby accorded for change in place of keeping the books of accounts of the Company from the registered office, .............................................to the head office of the company at ......................................................................

RESOLVED FURTHER THAT any of the directors of the Company be and is hereby authorized to sign and file Form No.23AA with Registrar of Companies, West Bengal and to do all needful thereto.”
