14 June 2010A public limited company intends to increase remuneration of its Whole-time Director within the limits of Schedule XIII of the Companies Act.
Does it required to file Form 25C for said increase of remuneration.
Pls advise the relevant provisions in support of your view.

If the remuneration is within Sch XIII, Form 25C should be filled, so as to inform the ROC of the increase in remuneration.

No Form 25C is not required to be filed for change in remuneration of WTDs.
Form 25C is filed only for appointment & re-appointment of WTds and MD.
Read Section 269 & Section 310 & 311 of Compani Act, 1956.
