01 August 2013A board of pub. co. appoints a MD and an additional director (who was subsequently appointed as the WTD) The Board also approved their draft agreements in a meeting held in July. The AGM will be in Sept.
To avoid the requirements of sec. 302, it was decided that their agreements will be signed immeditely after the AGM.
Form 23 to be filed when ? after board meeting or after AGM. (after execution of the agreements.

Form 23 needs to be filed within 30 days from date of board meeting for appointment of managing director.
For appointment of Whole Time Director, form 23 is not required to be filed.
