Form 2 need to be filed in case of reclassification

Can anybody confirmed me that in the case of reclassification of share capital for the purpose of conversion of pref, shares into equity, we need to file Form 2

In my opininion we have need to file Form 2 because we have to allote Equity shares in lieu of Preference shares which fall under Allotment of shares other than cash.
