Hi Everyone

Please let me know the Procedure for resignation by a Foreign Director?

And thereafter, appointment of another Foreign Director.

This is a case of Pvt Ltd Co.

Kindly revert urgently.

there is no separate procedure for the resignation of foreign director. what ever you follow for indian director you can follow the same thing. take the resignation letter from the foreign director, take consent letter from the to be appointed foreign director, put the same in the board meeting and approve the resignation and approve the appointmnet. you can file both in the same form-32

Resignation of existing director is a simple procedure - attach resignation letter to Form 32 and file the form.

For the new Foreign director, if he / she does not already have a DIN, then the first process would be to apply for DIN. Once the DIN is allotted, you can then get a consent letter and a declaration by the person being appointed that he/ she is not restrained/disqualified/ removed of, for being appointed as director of a company under the provisions of the Companies Act and file the form 32.
